Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Governer platform, website, and related services (collectively, the "Service") provided by Governer ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 13 years of age, or the minimum digital age of consent in your jurisdiction (whichever is higher), and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Governer provides AI governance analysis tools, including:

• AI Code Scanner: Analyses source code against EU AI Act, NIST AI RMF, and ISO 42001 frameworks to identify compliance risk indicators.
• Website Compliance Scanner: Scans websites for compliance risk indicators related to GDPR, CCPA, Cookie Law, Accessibility, and other regulatory areas.
• Trust Score: Calculates an overall governance risk score based on detected indicators.
• Reports & Remediation: Generates actionable risk reports with remediation guidance. Reports are informational only and do not constitute legal advice.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete registration information.
• You must notify us immediately of any unauthorised use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Upload malicious code, viruses, or harmful content.
• Attempt to gain unauthorised access to the Service or its infrastructure.
• Scan websites you do not own or have authorisation to scan.
• Abuse rate limits or attempt to overwhelm the Service with excessive requests.
• Resell, sublicense, or redistribute the Service without our written consent.

5. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Governer and protected by intellectual property laws. You retain ownership of any code or content you upload to the Service. By uploading content, you grant us a limited, non-exclusive licence to process it solely for the purpose of providing the Service.

6. Data Handling

• Source code: Processed in-memory during scans and not persistently stored after scan completion.
• Scan results: Stored in your account for up to 12 months.
• Website compliance scans: Only publicly accessible content is crawled. No authentication credentials are required or requested.

7. Free & Paid Plans

• Free tier: Limited scans per month. No payment required.
• Pro/Team plans: Billed monthly or annually. Prices are displayed exclusive of applicable taxes (including VAT) unless stated otherwise.
• Auto-renewal: Paid subscriptions auto-renew at the end of each billing period. You will receive an email reminder at least 7 days before renewal.
• Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time.

8. Refund Policy

Consumer (B2C) customers: If you are an individual consumer in the EU/UK and are unsatisfied with a paid plan, you may request a full refund within 14 days of your initial purchase, provided you have not yet activated the digital service (i.e., run any scans). Where you have requested immediate performance of the digital service before the 14-day period expires, the right of withdrawal is extinguished upon activation, in accordance with the EU Consumer Rights Directive (Art. 16(m)) and UK Consumer Contracts Regulations 2013.

Business (B2B) customers: Refunds for business accounts are at our sole discretion. To request a refund, email support@governer.dev.

9. Disclaimers

• The Service identifies compliance risk indicators, not confirmed legal violations. Results are informational only and must be reviewed and validated by qualified legal professionals before any reliance is placed on them.
• We do not guarantee that using the Service will make you fully compliant with any regulation. The Service does not constitute legal advice, legal counsel, or a legal opinion.
• The Trust Score is a relative risk indicator, not a certification, attestation, or guarantee of regulatory compliance.
• The Service is provided "as is" without warranties of any kind, to the extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Governer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with reasonable notice where possible. Upon termination, your right to use the Service ceases immediately. You may export your data before termination by contacting us.

12. Governing Law

These Terms are governed by the laws of Pakistan. For EU residents, mandatory consumer protection laws of your country of residence shall apply. Disputes shall be resolved through good-faith negotiation, and if unresolved, through the courts of Islamabad, Pakistan, or your local courts where mandated by consumer protection law.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance.
